Terms and Conditions

Please read these Terms carefully before using Cadiance. By creating an account or using the Service, you agree to be bound by them. If you do not agree, you may not use the Service.

1. About these Terms

Cadiance is a product of SHIZ Media (Pty) Ltd, registration number 2017/080539/07, a private company incorporated in South Africa and domiciled in Cape Town. "Cadiance", "we", "our" and "us" refer to SHIZ Media (Pty) Ltd operating under the Cadiance product name. The "Service" means the Cadiance web application at cadiance.ai and any successor domains.

Our Privacy Policy at cadiance.ai/privacy-policy also governs your use of the Service and forms part of this agreement.

2. The Service

Cadiance is an AI-assisted content platform that helps executives and their communications teams create LinkedIn content matching the executive's own voice. It includes voice model creation from your writing samples, AI-assisted drafting and editing, a team review and approval workflow, LinkedIn publishing via OAuth, scheduled posting, and team seat administration.

3. Accounts

You must be at least 18 and legally able to enter into this agreement. You agree to provide accurate information, keep your account credentials secure, take responsibility for all activity under your account, and notify us at [email protected] of any unauthorised access.

In team accounts, the Admin manages team members and roles, and is responsible for the conduct of all users in their workspace.

We may refuse service, or suspend or terminate accounts, where we believe these Terms have been violated.

4. LinkedIn Integration

Cadiance operates strictly within LinkedIn's officially supported OAuth and API mechanisms. We do not use scraping, browser automation, or undocumented access methods.

4.1 Your own account only. Only you may connect your own LinkedIn account. You may not connect, use, or share another person's LinkedIn credentials or OAuth token within the platform.

4.2 Publishing responsibility. You are solely responsible for all content published to your LinkedIn profile via Cadiance. No post is published without your explicit approval. By approving a post for publication or scheduling, you confirm the content is accurate, lawful, and compliant with LinkedIn's User Agreement and Community Policies.

4.3 Scheduled posts. Where you approve and schedule a post, Cadiance publishes it at the scheduled time using your stored credentials. You are responsible for cancelling scheduled posts you no longer wish to publish.

4.4 What we store and how. We store your LinkedIn member URN, display name, profile picture, and an OAuth access token. The token is encrypted with AES-256-GCM before storage and is used solely to publish content you have authorised. It is never used to access or post to any other user's profile, never shared with third parties, and never sent to our AI provider. LinkedIn data is not used for advertising, profiling, recruiting, lead generation, or data enrichment, and is not sold or made available to third parties other than the service providers who help us operate Cadiance.

4.5 Permissions. We request only openid, profile, email and w_member_social. We do not request access to your connections, messages, or feed.

4.6 Token expiry. LinkedIn tokens expire after 60 days. If your token expires or a post fails because your connection is no longer valid, we notify you by email so you can reconnect. You are responsible for reconnecting to maintain publishing capability. We accept no liability for posts that fail to publish due to an expired token.

4.7 Disconnection. You may disconnect at any time from your account settings, or revoke access directly in LinkedIn. Disconnection immediately erases your stored token and removes our ability to publish to your profile. Posts scheduled after disconnection will fail and will not be retried.

4.8 Your compliance. You agree to use the integration only in compliance with LinkedIn's User Agreement and API Terms of Use, and to ensure content you publish complies with LinkedIn's Community Policies.

5. AI Content and Voice Models

By uploading writing samples you grant us a limited licence to process them solely to create and maintain your voice model. We do not use your writing samples, content, or voice model to train shared or general AI models. Your voice model is private to your workspace.

All AI output is a draft for your review. It may contain errors or content that does not reflect your views. You are solely responsible for reviewing, editing, approving and publishing it, and we accept no liability for AI-generated content you choose to publish.

6. Subscriptions, Free Trial and Billing

6.1 Merchant of record. Payments are processed by Lemon Squeezy, which acts as merchant of record and authorised reseller. Lemon Squeezy is the seller of record for your purchase and the charge appears on your statement under their name, not ours. By subscribing you also agree to Lemon Squeezy's buyer terms.

6.2 Plans. Cadiance is billed monthly in US Dollars. Solo is USD 49 per month. Team is USD 69 per Executive seat per month. We do not currently offer annual billing.

6.3 Free trial and automatic conversion. New workspaces begin with a 7-day free trial. Valid payment details are required before the trial starts and before you can access the Service. No charge is made during the trial.

Your subscription converts automatically to a paid monthly subscription at the end of the 7 days and your payment method will be charged, unless you cancel first. Lemon Squeezy emails you before the trial ends, and your trial end date is shown in your account throughout. You may cancel at any point during the trial at no cost.

6.4 Renewal and cancellation. After conversion your subscription renews monthly, charged in advance, until cancelled. You may cancel at any time from your account settings, which directs you to the Lemon Squeezy portal. You keep full access until the end of the period you have paid for. We do not refund the unused portion of the current period, except under clause 6.5.

6.5 14-day money-back guarantee. If you are not satisfied, you may request a full refund of your first paid charge within 14 days of that charge, no explanation required. Email [email protected]. Refunds are issued via Lemon Squeezy to your original payment method and typically appear within 5–10 business days. This applies to your first paid charge only, not to subsequent renewals or seat charges.

6.6 Team seats. Team plans are priced per Executive seat; Communications Manager accounts do not consume a seat. Seat changes are managed through Lemon Squeezy and take effect in accordance with their billing terms for your subscription. Adding a seat during your free trial ends the trial and starts your paid subscription. Removing a seat does not entitle you to a refund of the current period. Moving from Team to Solo is not self-service — contact [email protected].

6.7 Price changes. We may change pricing on reasonable prior notice by email. Changes apply from your next renewal. You may cancel before they take effect.

6.8 Payment failure. If a payment fails, Lemon Squeezy retries your payment method over approximately two weeks and emails you at each attempt. During this period, publishing, scheduling, content generation, invitations and seat changes are suspended; existing content remains viewable. If all retries fail, your subscription ends and access is blocked.

6.9 Reactivation. To reactivate an ended subscription, contact [email protected]. Reactivation is not currently self-service and does not include a new free trial.

6.10 Statutory rights. Nothing in this section limits any right you have under the South African Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, or other mandatory consumer protection law in your jurisdiction.

7. Content and Intellectual Property

You retain ownership of your writing samples, drafts and content. You grant us a limited, non-exclusive licence to process them solely to provide the Service. We claim no ownership of your content.

The Cadiance platform, including its software, design and functionality, is our property and that of our licensors. You may not copy, modify, distribute, sell or lease any part of it without our written consent. If you give us feedback or suggestions, you grant us a royalty-free licence to use it.

8. Acceptable Use

You may not use the Service to: break any applicable law; publish content that is defamatory, harassing, hateful, discriminatory, obscene or otherwise unlawful; impersonate anyone or misrepresent your affiliation; connect a LinkedIn account that is not your own; publish content violating LinkedIn's terms; automate LinkedIn engagement actions such as liking, commenting, connecting or messaging; reverse engineer the platform or its AI models; introduce malware; attempt unauthorised access to any part of the Service or another user's account; impair the operation of the Service; or resell or provide access to third parties without our written consent.

9. Team Accounts

The Admin manages subscriptions and billing, invites and removes team members, and is responsible for all content published from the workspace.

Only Executives may connect a LinkedIn account, and publishing always uses that Executive's own credentials. Communications Managers may draft posts but cannot connect LinkedIn or publish independently; their drafts require Executive approval.

10. Cancellation and Data Retention

On cancellation your workspace data is retained for up to 90 days so you may reactivate. During the first 30 days a cancelled workspace can be fully restored including team members; between 31 and 90 days your content is restored but team members must be re-invited. After 90 days your workspace data is deleted and cannot be recovered.

Your LinkedIn token is erased immediately on disconnection or account termination. You may request earlier deletion at any time — see cadiance.ai/data-deletion. It is your responsibility to export anything you wish to keep.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated content is accurate or suitable for publication.

Cadiance's LinkedIn features depend on LinkedIn's API, which LinkedIn controls. We accept no liability for interruptions caused by LinkedIn API downtime or changes, or for action LinkedIn takes against your account arising from content you publish.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, including loss of data, revenue, profit or reputation. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the event giving rise to it.

Nothing here excludes liability that cannot be excluded under mandatory applicable law.

12. Termination and Changes

We may suspend or terminate your access immediately if you violate these Terms or LinkedIn's terms, if your account is used fraudulently, or if continuing to serve you creates legal risk for us. On termination your right to use the Service ceases immediately and clause 10 governs your data.

We may modify these Terms. Where changes are material we will give at least 14 days' notice by email or a prominent in-product notice. Continued use after they take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Disputes will first be subject to good-faith negotiation for 30 days, and failing resolution, to the exclusive jurisdiction of the courts of the Republic of South Africa. Where mandatory consumer protection or data privacy laws of your jurisdiction apply, those are not excluded.

14. General

These Terms and our Privacy Policy are the entire agreement between us regarding the Service. If any provision is unenforceable it will be modified to the minimum extent necessary and the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights without our consent; we may assign ours to a successor entity.
